1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and SELFX, LLC, a Louisiana limited liability company (“Company”, “we”, “us”, “our”), governing your access to and use of the Carousel Clout platform located at carouselclout.com (the “Service”).

By creating an account or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using Carousel Clout, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

• You must provide a valid email address and create a password to register.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You agree to notify us immediately at [email protected] if you suspect unauthorized use of your account.

4. The Service

Carousel Clout is an AI-powered marketing graphics platform that generates cinematic images using artificial intelligence based on text prompts you provide. The Service allows you to:

• Generate single-slide and multi-slide carousel graphics.
• Adapt existing images into different formats and aspect ratios.
• Configure brand kits, presets, and CTA libraries.
• Download generated images for use in your marketing.

5. Credits & Payments

5.1 Credit System

The Service operates on a credit-based system. Image generation and certain features consume credits. Credit costs vary by engine, canvas size, and feature tier.

5.2 Purchasing Credits

Credits are purchased through credit packs via our payment processor, Stripe, Inc. All prices are displayed in US Dollars at the time of purchase. Your credit card statement will show charges from SELFX, LLC.

5.3 No Refunds

All credit pack purchases are final and non-refundable. Once credits are purchased, they cannot be exchanged for cash or returned, regardless of whether they have been used. By completing a purchase, you acknowledge and agree to this no-refund policy.

If a credit deduction occurs due to a generation failure on our end, the system will automatically refund the credits to your account balance.

5.4 Credit Expiration

Purchased credits do not expire as long as your account remains active and in good standing.

6. Intellectual Property

6.1 Your Content

You retain ownership of the text prompts, headlines, descriptions, and brand assets you provide to the Service. You grant us a limited, non-exclusive license to process this content solely to provide the Service.

6.2 Generated Images

Images generated through the Service are yours to use for personal and commercial purposes, subject to the usage policies of the underlying AI model providers (OpenAI, Google, Abacus.AI). We do not claim ownership of images you generate.

6.3 Our Intellectual Property

The Service, including its design, code, prompt engine, brand elements, and documentation, is the intellectual property of SELFX, LLC and is protected by applicable copyright and trademark laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

7. Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, defamatory, obscene, or that promotes violence or hatred.
• Generate content that infringes on the intellectual property rights of others.
• Attempt to circumvent credit costs, rate limits, or security measures.
• Use automated scripts, bots, or scrapers to access the Service without authorization.
• Impersonate another person or entity.
• Interfere with or disrupt the Service or its infrastructure.

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice.

8. AI-Generated Content Disclaimer

The Service uses third-party AI models to generate images. While we strive for high-quality outputs, AI-generated content is inherently unpredictable. We do not guarantee that every generation will be perfect, accurate, or suitable for your intended purpose. You are solely responsible for reviewing generated content before publishing or distributing it.

9. Service Availability

We aim to keep the Service available 24/7, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from downtime.

10. Limitation of Liability

To the maximum extent permitted by law, SELFX, LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify, defend, and hold harmless SELFX, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. You may close your account at any time by contacting [email protected]. Upon termination, your right to use the Service ceases immediately. Unused credits are forfeited upon account termination.

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Orleans Parish, Louisiana.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the “Last Updated” date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
